The annual meeting of the shareholders shall be held on the second Tuesday in January in each year, for the election of directors and other business. If the day fixed for the annual meeting, or for any special general meeting of the shareholders, shall fall on a legal holiday, the meeting shall be held on the next following day not being a legal holiday. III. In the event of failure to elect directors at any annual meeting, it shall be the duty of the directors holding office at the time when such failure of election shall take place, to call, as soon as practicable, a special general meeting of the shareholders to elect directors to serve during the remainder of the current year, and to do any other business that should have been done at the annual meeting. IV. If a vacancy occur in the Board of Directors at any time, the remaining directors shall fill the same by election from among the qualified shareholders.
